HIPAA Assurances.  CMS Max understands that Customer is a person of entity covered by the HIPPA regulations (“covered entity”). In the event CMS Max creates, receives, maintains, or otherwise is exposed to personally identifiable or aggregate patient or other medical information defined as Protected Health Information ("PHI") in the Health Insurance Portability and Accountability Act of 1996 or its relevant regulations ("HIPAA") and otherwise meets the definition as defined in the HIPAA Privacy Standards (45 CFR Parts 160 and 164), CMS Max shall:

A user's access to CMS MAX INC. will be terminated if, under appropriate conditions, the User is determined to infringe repeatedly. INDEMNITY

  2. your violation of any term of these Terms of Service;
  3. your violation of any third party right, including without limitation any copyright, property, or privacy right; or
  4. Any claim that one of your User Submissions caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of The Website.

You affirm that you are either more than 21 years of age, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms and Conditions contained herein.

Marketing Services If a third party company, software, script or anything outside of CMS Max is used to manipulate search engine rankings is a violation to our service and you will be terminated as a client. We do not offering consulting services nor fix SEO malicious related problems caused by other vendors.

Nameservers. To avoid any service disruptions, nameservers must be pointed to ns1.cmsmax.com ns2.cmsmax.com ns3.cmsmax.com ns4.cmsmax.com. While a disruption of service cannot be guaranteed, we try to maintain 99.99% uptime in regards to website hosting and SSL. We cannot guarantee any loss of business in the event of any technical issues that cause a website to go offline. CMS Max Inc. is not responsible for any loss of business in the event of any technical issue.

Termination upon Breach of Provisions. Notwithstanding any other provision of this Agreement, Covered Entity may give written notice to CMS Max in the event of a breach and give CMS Max five (5) business days to cure such breach. Covered Entity shall also have the option to immediately stop all further disclosures of PHI to CMS Max if Covered Entity reasonably determines that CMS Max has breached its obligations under this Agreement. In the event that termination of this Agreement and the Agreement is not feasible, CMS Max hereby acknowledges that the Covered Entity shall be required to report the breach to the Secretary of the U.S. Department of Health and Human Services, notwithstanding any other provision of this Agreement or Agreement to the contrary.

Return or Destruction of Protected Health Information upon Termination. Upon the termination of this Agreement, unless otherwise directed by Covered Entity, CMS Max shall either return or destroy all PHI received from the Covered Entity or created or received by CMS Max on behalf of the Covered Entity in which CMS Max maintains in any form. CMS Max shall not retain any copies of such PHI. Notwithstanding the foregoing, in the event that CMS Max determines that returning or destroying the Protected Health Information is infeasible upon termination of this Agreement, CMS Max shall provide to Covered Entity notification of the condition that makes return or destruction infeasible. To the extent that it is not feasible for CMS Max to return or destroy such PHI, the terms and provisions of this Agreement shall survive such termination or expiration and such PHI shall be used or disclosed solely as permitted by law for so long as CMS Max maintains such Protected Health Information.

Billing/Payments. All invoices for CMS Max, Inc. recurring services are automatically sent to the client, via electronic billing, on the 1st of each month following their service start date.  From this electronic invoice, you can set your bill on auto-recurring monthly payments, or you can pay the electronic invoice manually each month.  If you do not set your bill on automatic recurring payments, then your manual payments are due within 10 days of the date of the invoice.  Any unpaid balances on your account after 30 days may be subject to a 3% late penalty for each 30 day period thereafter.  If an account becomes more than 90 days past due, our system is set to automatically disable your website unless a CMS Max, Inc. executive overrides it as a courtesy, if the client has made verbal communication as to why the payments are late and a prior agreement has been made regarding the 90 day delinquency.

No Third Party Beneficiaries. The parties agree that the terms of this Agreement shall apply only to themselves and are not for the benefit of any third party beneficiaries.

De-Identified Data. Notwithstanding the provisions of this Agreement, CMS Max and its subcontractors may disclose non-personally identifiable information provided that the disclosed information does not include a key or other mechanism that would enable the information to be identified.

Amendment. CMS Max and Covered Entity agree to amend this Agreement to the extent necessary to allow either party to comply with the Privacy Standards, the Standards for Electronic Transactions, the Security Standards, or other relevant state or federal laws or regulations created or amended to protect the privacy of patient information. All such amendments shall be made in a writing signed by both parties.

Defamation of character. If a violation of any of the CMS Max, Inc. terms and conditions, as contained here, results in your termination as a client, retaliation of any kind will be met by law.  An example of such retaliation would be:  writing a false claim or bad review about CMS Max, Inc., in the event you are terminated for a policy violation.

Interpretation. Any ambiguity in this Agreement shall be resolved in favor of a meaning that permits Covered Entity to comply with the then most current version of HIPAA and the HIPAA privacy regulations.

Definitions. Capitalized terms used in this Agreement shall have the meanings assigned to them as outlined in HIPAA and its related regulations.
